## TERMS AND CONDITIONS

Last updated: 2026-10-24

IMPORTANT: Sections 4 to 8 set out how paid subscriptions work, including that
paid plans RENEW AUTOMATICALLY until you cancel them, how to cancel, and when
refunds are and are not available. Please read them before subscribing.

1. Introduction

Welcome to Prepzo ("Company", "we", "our", "us").

These Terms of Service ("Terms") govern your use of our website located at
https://www.prepzo.study/ (together or individually "Service") operated by
Prepzo, a sole proprietorship of S. Srihitha registered under the Udyam
Registration scheme, having its registered office at Manasarovar Heights Road,
RTC Colony, Tirumalagiri, Secunderabad, Hyderabad, Telangana 500015, India.

Our Privacy Policy also governs your use of Service and explains how we
collect, safeguard and disclose information that results from your use of our
web pages.

Your agreement with us includes these Terms and our Privacy Policy
("Agreements"). You accept the Agreements by ticking the acceptance box when
you create your account (or, if you have not done so before, when you first
subscribe to a paid plan). We record the date and the version of the Terms you
accepted. You acknowledge that you have read and understood the Agreements and
agree to be bound by them.

If you do not agree with (or cannot comply with) the Agreements, you may not
use Service, but please let us know by emailing support@prepzo.study so we can
try to find a solution. These Terms apply to all visitors, users and others who
access or use Service.

2. Service Is Offered in India Only

Service is intended for, and offered only to, individuals resident in India. It
is not directed at, and we do not knowingly provide Service to, individuals
located outside India. All prices are quoted in Indian Rupees and payments are
collected in India.

If you access Service from outside India, you do so on your own initiative and
at your own risk, and you are responsible for compliance with any local law
that applies to you. We may decline or withdraw Service where we reasonably
believe you are not resident in India.

3. Communications

When you create an account we will send you messages necessary to operate
Service, such as confirmations, password resets, receipts and notices about
your subscription. These are not marketing messages and you cannot opt out of
them while you hold an account.

We will only send you newsletters, marketing or promotional material if you
have chosen to receive it. You may withdraw that consent at any time using the
unsubscribe link in any such message or by emailing support@prepzo.study.

4. Plans, Fees and Taxes

Service is offered on a free plan and on paid subscription plans. The plans,
their current prices and the limits that apply to each are shown on our pricing
page at https://www.prepzo.study/pricing, which forms part of these Terms.

As at the date above, the paid plans and billing cycles are:

             Monthly 3 months 6 months 12 months
  Pro Rs. 149 Rs. 399 Rs. 749 Rs. 1,399
  Premium Rs. 299 Rs. 799 Rs. 1,499 Rs. 2,799

The price for a 3-, 6- or 12-month cycle is charged in full at the start of
each cycle.

All prices are in Indian Rupees and are inclusive of applicable taxes. Where a
tax invoice is required, it will be issued to the account holder's registered
email address.

We may change our prices. A change will not affect the price of a subscription
period you have already paid for. If we change the price applying to your
renewal, we will notify you by email at least fourteen (14) days before the
renewal date, so that you can cancel before the new price takes effect.

4.1. Referral codes. We may issue referral codes to individuals who
recommend Service. If you enter a valid referral code when you subscribe to a
paid plan, the first payment for that subscription is reduced by ten per cent
(10%) of one month's price of the plan you choose, whichever billing cycle
you select. The discount applies to that first payment only; every renewal is
charged at the regular price for your plan and billing cycle.

4.2. A referral code can be used only once per email address, cannot be used
by the person to whom it was issued, cannot be combined with any other
discount, has no cash value, and can be used only while it is active and
before its expiry date. We may withdraw a code, or decline to apply it, where
we reasonably believe it is being misused.

4.3. The person who issued a referral code may receive a commission from us
based on payments made by subscribers who used it. That commission is paid
by us and does not increase the price you pay.

5. Automatic Renewal

PAID PLANS RENEW AUTOMATICALLY.

When you subscribe to a paid plan, you authorise us and our payment processor
to charge your selected payment method on a recurring basis:

5.1. A monthly plan renews every month, on the same date, until cancelled.

5.2. A 3-month plan renews every three months, and a 6-month plan every six
months, on the same date, until cancelled.

5.3. A 12-month plan renews every year, on the same date, until cancelled.

5.4. Where you used a referral code under section 4.1, the first renewal
falls one full billing cycle after your discounted first payment.

Each renewal is charged at the price then applying to your plan and billing
cycle, as notified under section 4. Renewal continues until you cancel under
section 6, or until we cancel or suspend the subscription under these Terms.

Your bank or card issuer may require you to approve the recurring mandate when
you first subscribe, and may notify you before each debit. We do not control
those notifications.

If a renewal payment fails, our payment processor may reattempt it. If it
ultimately cannot be collected, your subscription will stop renewing and your
account will return to the free plan at the end of the period you have already
paid for. Content and history generated during a paid period are not deleted
when your account returns to the free plan, but free plan limits will apply
from then on.

6. Cancellation

You may cancel a paid plan at any time from the pricing page in your account,
or by emailing support@prepzo.study.

Cancellation stops future renewals. It does not end your current subscription
period: you keep access to your paid plan until the end of the period you have
already paid for, and your account returns to the free plan after that. We do
not provide pro-rata refunds for the unused part of a period that has already
begun, except as set out in section 7.

7. Refunds

7.1. If you are charged in error, charged twice for the same period, or
charged after you have cancelled, contact us at support@prepzo.study and we
will refund the incorrect charge in full.

7.2. If Service is materially unavailable for a prolonged period during a
subscription period you have paid for, contact us and we will provide a
refund or an extension of your subscription, at your election.

7.3. Other than as set out above, subscription fees are non-refundable once a
subscription period has begun. This includes situations where you did not use
Service during the period, or you are dissatisfied with automatically
generated content, which is provided subject to section 10.

7.4. Approved refunds are made to the original payment method. The time taken
for the refund to appear is determined by your bank or card issuer.

7.5. Nothing in this section limits any right you have under the Consumer
Protection Act, 2019 or other applicable law.

8. Plan Limits and Fair Use

Each plan includes a stated allowance for document uploads, questions and
flashcards generated per document, AI Teacher messages, cheatsheets and mock
tests. Allowances that reset monthly do so on the first day of each calendar
month; allowances that reset daily do so each day. Unused allowance does not
carry over.

The document upload allowance is shared: it covers every file you upload,
whether study notes or a real examination paper. A mock test means attempting
a real examination paper you have uploaded. Practice sessions built from your
own notes are not counted against the mock test allowance.

Some features are available only on a paid plan rather than being metered.
Study history — your past practice sessions, flashcard reviews, mock test
attempts and score trends over time — is available on the Pro and Premium
plans only.

Where a plan describes an allowance as "unlimited", it remains subject to a
fair-use ceiling intended to prevent automated or abusive use. That ceiling is
set well above ordinary individual study use, and we will tell you if you reach
it. We may contact you to discuss your usage before applying any restriction.

8.1. One account, one person. Your account is personal to you. A
subscription covers a single named individual and may not be shared. You may
not disclose your password or share your account credentials with anyone, let
any other person use your account, operate an account on behalf of a group,
batch or study circle, or resell, sublicense, rent or otherwise provide
access to Service to any other person.

8.2. We may treat concurrent use from multiple devices or locations, or usage
patterns inconsistent with a single individual studying, as evidence that an
account is being shared. Where we reasonably believe an account is shared, we
may require verification, restrict access, or suspend or terminate the
account under section 22. Where a paid account is terminated for sharing, no
refund is due for the remainder of the period.

8.3. Nothing in this section prevents you from using your own account on more
than one of your own devices.

9. Your Uploads

Service allows you to upload your own study material, including notes,
documents, images and past or mock examination papers, and photographs of your
own handwritten answers submitted for evaluation ("Your Uploads").

You retain ownership of Your Uploads. You grant us a limited, non-exclusive,
royalty-free licence to store, process and analyse Your Uploads in order to
provide Service, including to generate questions, flashcards, cheatsheets and
answer evaluations from them.

9.1. Reuse of generated material between accounts. To avoid repeating the
same processing, Service stores the material it generates from an uploaded
file together with an identifier derived from that file's contents. If
another user later uploads a file that is identical to one already processed,
Service may serve them the material generated earlier instead of generating
  it again.

This means that questions, flashcards and other material generated from a
file you upload may be provided to other users who upload the same file. It
applies only to identical files, and only to material generated by Service.
It does not give any other user access to your account, your uploaded file
itself, your answers, your scores, or your study history, all of which remain
  private to you.

9.2. We retain such generated material for as long as at least one user still
has the corresponding file on their account. When no user does, it is
deleted. If you delete your account, generated material derived from files
that no other user holds is deleted with it.

9.3. Your warranty about what you upload. You are responsible for Your
Uploads. By uploading a file you represent and warrant, each time you upload,
  that:

    (a) you lawfully possess the material and have obtained it through
    legitimate means;

    (b) you own the material or hold all rights, licences, consents and
permissions necessary to upload it and to have it processed as described in
these Terms and our Privacy Policy; and

    (c) uploading it, and our processing of it, does not and will not infringe
the copyright, moral rights, database rights, confidentiality or any other
right of any third party, and does not breach any licence, subscription
condition or terms of use under which you obtained it.

9.4. Third-party study material. Study material published by examination
bodies, institutes, coaching centres and publishers, including the Institute
of Chartered Accountants of India (ICAI) and its study material, practice
manuals, revision test papers, mock test papers and past examination papers,
is protected by copyright owned by those bodies. Material supplied by a
coaching centre is frequently licensed to you personally and on condition
that it is not reproduced, shared or uploaded elsewhere. Upload such material
only where you are genuinely permitted to do so. If you are unsure whether
you are permitted, do not upload it.

9.5. Indemnity. You agree to indemnify and hold us harmless against any
claim, demand, proceeding, loss, liability, damages, cost or expense
(including reasonable legal fees) brought by a third party and arising out of
or in connection with a breach of the warranties in sections 9.3 or 9.4, or
any allegation that Your Uploads infringe the rights of that third party.

9.6. Our response to complaints. We may remove or disable access to any
upload, and to material generated from it, where we receive a complaint under
section 18, where we are required to do so by law, or where we reasonably
believe it was uploaded in breach of this section. Repeated breaches may
result in termination of your account under section 22.

9.7. You may delete Your Uploads at any time from within Service. Deleting an
upload also retires the content generated from it in your account. Deleting
your account deletes all of Your Uploads, including photographs of your
  answers.

10. AI-Generated Content

Questions, options, explanations, model answers, flashcards, cheatsheets, tutor
responses and answer evaluations produced by Service are generated by automated
systems, including third-party artificial intelligence models. See our Privacy
Policy for details of how Your Uploads are processed.

Automatically generated content can be incomplete, outdated or wrong. It is
provided as a study aid only. It is not professional, legal, accounting,
taxation or financial advice, and it is not an authoritative statement of any
accounting standard, statute, rule or examination syllabus. You should always
verify it against official study material and current pronouncements before
relying on it. This is particularly important for monetary thresholds, rates,
due dates and section references, which change from year to year.

Marks, scores and feedback produced by Service are indicative only. They are
not an assessment by any examination body, they do not reflect how an examiner
would mark the same answer, and they are not a prediction of your result in any
examination.

Paid plans provide a larger allowance of automatically generated content. They
do not provide any warranty as to its accuracy, and section 7.3 applies.

11. No Affiliation With ICAI

Prepzo is an independent study platform. We are not affiliated with, endorsed
by, sponsored by or otherwise connected to the Institute of Chartered
Accountants of India (ICAI) or any other examination body. References to
examinations, levels, papers and syllabus content are descriptive only and are
used to help you organise your own study material.

12. Prohibited Uses

You may use Service only for lawful purposes and in accordance with these
Terms. You agree not to use Service:

12.1. In any way that violates any applicable national or international law
  or regulation.

12.2. For the purpose of exploiting, harming, or attempting to exploit or
  harm minors in any way.

12.3. To transmit, or procure the sending of, any advertising or promotional
material, including "junk mail", "chain letters", "spam" or any similar
  solicitation.

12.4. To impersonate or attempt to impersonate the Company, a Company
employee, another user, or any other person or entity.

12.5. In any way that infringes upon the rights of others, or that is
illegal, threatening, fraudulent or harmful, or in connection with any
unlawful, fraudulent or harmful purpose or activity.

12.6. To engage in any conduct that restricts or inhibits anyone's use or
enjoyment of Service, or which may harm or offend the Company or users of
Service or expose them to liability.

You also agree not to:

12.7. Use Service in any manner that could disable, overburden, damage or
impair Service or interfere with any other party's use of Service.

12.8. Use any robot, spider or other automatic device, process or means to
access Service for any purpose, including monitoring or copying any material
  on Service.

12.9. Use any manual process to monitor or copy material on Service for any
unauthorised purpose without our prior written consent.

12.10. Use any device, software or routine that interferes with the proper
  working of Service.

12.11. Introduce any virus, trojan horse, worm, logic bomb or other material
which is malicious or technologically harmful.

12.12. Attempt to gain unauthorised access to, interfere with, damage or
disrupt any part of Service, the server on which Service is stored, or any
server, computer or database connected to Service.

12.13. Circumvent, or attempt to circumvent, any plan limit, allowance,
metering or payment mechanism in Service.

12.14. Attack Service by means of a denial-of-service or distributed
  denial-of-service attack.

12.15. Otherwise attempt to interfere with the proper working of Service.

13. Payments and Payment Processing

Payments are processed by our third-party payment processor, Razorpay. When you
subscribe, you provide your payment details directly to that processor and are
subject to its terms and privacy policy in addition to these Terms.

We do not collect, see or store your full card number, CVV or bank
credentials. We receive only a record of the payment, the amount, and an
identifier that allows us to match the payment to your account.

You represent that you are authorised to use the payment method you provide,
and that the information you give is accurate.

14. Analytics

We use Google Analytics, loaded through Google Tag Manager, to understand how
Service is used. See our Privacy Policy for details.

15. No Use By Minors

Service is intended only for access and use by individuals at least eighteen
(18) years old. By accessing or using Service, you warrant and represent that
you are at least eighteen (18) years of age and have the full authority, right
and capacity to enter into this agreement and abide by these Terms. If you are
not at least eighteen (18) years old, you are prohibited from accessing and
using Service.

16. Accounts

When you create an account with us, you guarantee that you are above the age of
18 and that the information you provide is accurate, complete and current at
all times. Inaccurate, incomplete or obsolete information may result in
termination of your account.

You are responsible for maintaining the confidentiality of your account and
password, including restricting access to your computer and account. You agree
to accept responsibility for all activities that occur under your account,
whether or not authorised by you. You must notify us immediately on becoming
aware of any breach of security or unauthorised use of your account.

You may not use as a username the name of another person or entity, a name or
trademark subject to the rights of another person or entity without
authorisation, or any name that is offensive, vulgar or obscene.

We reserve the right to refuse service, terminate accounts, or remove or edit
content in accordance with section 22.

17. Intellectual Property

Service and its original content (excluding content provided by users),
features and functionality are and will remain the exclusive property of the
Company and its licensors. Service is protected by copyright, trademark and
other laws of India and foreign countries. Our trademarks may not be used in
connection with any product or service without our prior written consent.

18. Copyright and Takedown

We respect the intellectual property rights of others, and it is our policy to
respond to claims that content on Service infringes the copyright or other
rights of any person or entity.

If you are a copyright owner, or authorised to act on behalf of one, and you
believe that material accessible on Service infringes your copyright, please
email support@prepzo.study with the subject line "Copyright Infringement",
providing:

18.1. your name, address, telephone number and email address, and the
  capacity in which you act;

  18.2. identification of the work you claim has been infringed;

18.3. identification of the material you claim is infringing, and enough
  detail for us to locate it;

18.4. a statement that you have a good-faith belief that the use complained
  of is not authorised by the copyright owner, its agent or the law;

18.5. a statement that the information in your notice is accurate; and

18.6. your physical or electronic signature.

We will acknowledge a valid notice and act on it in accordance with the
Information Technology Act, 2000 and the rules made under it. You may be held
liable for damages, including costs, for a misrepresentation or a bad-faith
claim.

19. Grievance Redressal

In accordance with the Information Technology Act, 2000 and the rules made
under it, and the Consumer Protection (E-Commerce) Rules, 2020, the contact
details of our Grievance Officer are:

  Name: S. Srihitha

Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

matters are resolved quickly without a formal complaint.

20. Error Reporting and Feedback

You may provide us, either directly at support@prepzo.study or through
third-party sites and tools, with information and feedback concerning errors,
suggestions for improvements, ideas, problems and complaints ("Feedback"). You
acknowledge and agree that: (i) you will not acquire or assert any intellectual
property right in the Feedback; (ii) we may already have similar ideas; (iii)
Feedback does not contain confidential information from you or any third party;
and (iv) we are under no obligation of confidentiality in respect of Feedback.
You grant us a transferable, irrevocable, royalty-free, sub-licensable and
perpetual right to use Feedback for any purpose.

21. Links To Other Web Sites

Service may contain links to third-party web sites or services that are not
owned or controlled by us. We have no control over, and assume no
responsibility for, the content, privacy policies or practices of any
third-party web site or service.

YOU ACKNOWLEDGE AND AGREE THAT THE COMPANY SHALL NOT BE RESPONSIBLE OR LIABLE,
DIRECTLY OR INDIRECTLY, FOR ANY DAMAGE OR LOSS CAUSED OR ALLEGED TO BE CAUSED
BY OR IN CONNECTION WITH USE OF OR RELIANCE ON ANY CONTENT, GOODS OR SERVICES
AVAILABLE ON OR THROUGH ANY SUCH THIRD-PARTY WEB SITE OR SERVICE.

WE STRONGLY ADVISE YOU TO READ THE TERMS AND PRIVACY POLICIES OF ANY
THIRD-PARTY WEB SITES OR SERVICES THAT YOU VISIT.

22. Suspension and Termination

We may suspend or terminate your account and access to Service where you have
materially breached these Terms, where we are required to do so by law, or
where continued provision of Service would expose us or our users to liability
or harm.

Except where immediate action is necessary to prevent harm, to comply with law,
or in the case of a serious breach, we will give you notice and an opportunity
to remedy the breach before suspending or terminating a paid account. If we
terminate a paid account other than for your breach, we will refund the unused
portion of your current subscription period.

You may stop using Service at any time. To cancel a paid plan, see section 6.
To delete your account and the data associated with it, use the option in your
account settings.

All provisions of these Terms which by their nature should survive termination
shall survive, including ownership provisions, warranty disclaimers, indemnity
and limitations of liability.

23. Disclaimer Of Warranty

SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE MAKE NO
REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE
OPERATION OF SERVICE OR THE INFORMATION, CONTENT OR MATERIALS INCLUDED IN IT.
YOU EXPRESSLY AGREE THAT YOUR USE OF SERVICE IS AT YOUR SOLE RISK.

NEITHER THE COMPANY NOR ANY PERSON ASSOCIATED WITH IT MAKES ANY WARRANTY OR
REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY,
QUALITY, ACCURACY OR AVAILABILITY OF SERVICE. WITHOUT LIMITING THE FOREGOING,
WE DO NOT REPRESENT OR WARRANT THAT SERVICE OR ITS CONTENT WILL BE ACCURATE,
RELIABLE, ERROR-FREE OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, OR THAT
SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR
OTHERWISE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT AND
FITNESS FOR A PARTICULAR PURPOSE.

THE FOREGOING DOES NOT AFFECT ANY WARRANTY OR RIGHT WHICH CANNOT BE EXCLUDED OR
LIMITED UNDER APPLICABLE LAW, INCLUDING UNDER THE CONSUMER PROTECTION ACT,
2019.

24. Limitation Of Liability

EXCEPT AS PROHIBITED BY LAW, WE AND OUR OFFICERS, DIRECTORS, EMPLOYEES AND
AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL OR
CONSEQUENTIAL DAMAGE, HOWEVER ARISING, WHETHER IN CONTRACT, NEGLIGENCE OR OTHER
TORTIOUS ACTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, EVEN IF WE
HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

WITHOUT LIMITING THE FOREGOING, WE ARE NOT LIABLE FOR ANY EXAMINATION RESULT,
LOSS OF STUDY TIME, OR DECISION TAKEN IN RELIANCE ON AUTOMATICALLY GENERATED
CONTENT, WHICH IS PROVIDED SUBJECT TO SECTION 10.

EXCEPT AS PROHIBITED BY LAW, IF LIABILITY IS FOUND ON OUR PART, IT WILL BE
LIMITED TO THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE
EVENT GIVING RISE TO THE CLAIM.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY WHICH CANNOT LAWFULLY BE
EXCLUDED OR LIMITED, INCLUDING LIABILITY FOR FRAUD.

25. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India,
without regard to conflict of law provisions. The courts at Hyderabad, India
shall have exclusive jurisdiction over any dispute arising out of or in
connection with these Terms, subject to any right you have to bring proceedings
before a consumer forum having jurisdiction where you reside.

Our failure to enforce any right or provision of these Terms will not be
considered a waiver of those rights.

26. Changes To Service

We reserve the right to withdraw or amend Service, and any service or material
we provide through it, without notice. We will not be liable if for any reason
all or part of Service is unavailable at any time. Where a change materially
reduces the features or allowances of a paid plan you are currently subscribed
to, we will notify you by email, and you may cancel and receive a pro-rata
refund of the unused portion of your current period.

27. Amendments To Terms

We may amend these Terms at any time by posting the amended terms on this page,
and will update the "Last updated" date above.

Where a change materially affects your rights or obligations, including any
change to fees, renewal or cancellation, we will notify you by email at least
fourteen (14) days before it takes effect, so that you can cancel before then
if you do not agree.

Your continued use of Service after revised Terms take effect means that you
accept them. If you do not agree to the revised Terms, you must stop using
Service and may cancel under section 6.

28. Waiver And Severability

No waiver by the Company of any term or condition set out in these Terms shall
be deemed a further or continuing waiver of that term or condition, or a waiver
of any other term or condition.

If any provision of these Terms is held by a court or other tribunal of
competent jurisdiction to be invalid, illegal or unenforceable, that provision
shall be eliminated or limited to the minimum extent necessary so that the
remaining provisions continue in full force and effect.

29. Entire Agreement

These Terms, together with our Privacy Policy and the pricing page, constitute
the entire agreement between you and us regarding Service and supersede any
prior agreements between us regarding Service.

30. Acknowledgement

BY USING SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS AND AGREE TO
BE BOUND BY THEM.
